THE CONSTITUTION AND BY-LAWS
PREAMBLE
We, the members of the Filipino Nurses Association of Québec, Incorporated, proud of our unique tradition of caring, compassion and competence concerned with the professional and personal development of our members, hereby establish this constitution and by laws.
ARTICLE I - NAME
The name of the organization shall be THE FILIPINO NURSES ASSOCIATION OF QUEBEC, INC. / ASSOCIATION DES INFIRMIÈRES ET INFIRMIERS PHILIPPINS DU QUÉBEC, INC. It is herein after referred to as the “FNAQ” or the “Association”.
ARTICLE II - LOGO
The FNAQ’s logo shall contain the symbols of Québec, Canada, the Philippines; the representation of the lamp as a symbol of the profession; and the Ordre des infirmières et infirmiers du Québec (OIIQ) logo, and the year of the founding of the FNAQ. The color of the logo shall remain black and white except for the banners.

The location of the head office of FNAQ shall be within the metropolitan area of Montreal. The mailing address shall be, as designated by the Executive Board.

We are an association committed to exemplary nursing practice and responsive to the needs of the Filipino nurses and the community at large.
ARTICLE V - OUR MISSION
The FNAQ is a professional, non-profit educational, community service oriented organization, dedicated to maintain and enhance the professional development of its members, whose purpose is to uphold the positive image of its constituents. It is incorporated under Part Three of the Québec Companies Act # 023L01 registration # 1142630525.

ARTICLE X - MEMBERSHIP FEES, DUTIES AND RIGHTS
1. Membership in FNAQ is open to the following three (3), categories who share the objectives upon which this Association is founded:
2. Shall know Duties and Rights as members (ref. Code of Ethics).
1.1 Category 1. Active: are Filipino/non-Filipino nurses residing/practicing nursing in QC. Fee is $40.
1.2 Category 2. Associate: are Filipino / non-Filipino nurses who belong to any of this category: a) not licensed, b) not practicing, c) not residing in QC, d) retired, e) GPL, and f) LPN. Fee is $25
1.3 Category 3. Student: Filipino/non-Filipino nursing students studying in QC. Fee is $15
1.4 Non-Filipino members: are ‘Honorary’ –have the same rights & privileges, except voting rights.
1.5 Membership shall be renewed every 2 years
3. Shall participate in the electoral process, as a candidate / voter, except for honorary members.
4. Shall inform the Membership Director of changes: current addresses, contact coordinates, etc.
5. Shall understand the Constitution & Bylaws (CBL), Code of Ethics (COE), APP and abide by it.
6. Shall be a member of committees, especially the Support Group committees.
7. Shall attend and participate in General Assemblies

- We are a team committed and dedicated to promote and expand the leadership skills and practices of our members. We will work with each other and the community as partners who value caring, respect, accountability, excellence, and competence as they are the foundation to achieving the trust of our members and the community we serve.
- We believe that the objectives of the FNAQ become a guide in our practice. FNAQ will provide and coordinate the educational activities for the development of our members that will have a positive effect on the quality of service they provide.
- We believe that the Executive Board (EB), will assure that FNAQ functions effectively, collegially, and ethically as a professional association.
- We expect and encourage participation in FNAQ activities from all members, the individual and the community at large.

The following values reflect FNAQs’ vision, mission and philosophy that guide the decisions made by the Executive Board (EB):
- Accountability: We proudly value each other, as we assume responsibility in doing our individual and specific FNAQ duties.
- Community: We value the contribution of the community we serve and the efforts of our members, donors, and volunteers in helping to fulfill our mission and ensure the continued growth of FNAQ.
- Direction: We are clearly aligned with our goals and objectives in the pursuit of our mandate. We share a sense of common purpose and priorities of our members.
- Efficiency: We are committed to managing our resources responsibly and leading the way in developing new means of achieving efficiency in our operation.
- Honesty: We will conduct ourselves with honesty, integrity and fairness in accordance with ethical principles. We are committed to performing our activities with respect & transparency.
- Knowledge: We value learning, and continue to develop, promote and support an environment that encourages education and training among our members. We will continue to support professional endeavors and educational programs that contribute to the growth and development of our members.
- Loyalty: We value each others' allegiance, refrain from making statements that could harm the reputation or credibility of the other person. We value positive working relationships, and healthy communications with colleagues.
- Openness: We encourage new ideas, feedback and respect differences with a spirit of inquiry and sensitivity. We work in an open environment where we continually seek to understand the needs, interest and opinions of others.
- Teamwork: We recognize the importance of quality, diversity and contribution of each member. We are committed to working together as a team, collaborating with one another and sharing our knowledge to achieve common vision and goals.
- Trust and mutual respect: We are guided by mutual respect and interaction with our advisors, members, donors and volunteers and are committed in building long term relationships based on trust and fairness. We respect the values and beliefs of each other.
ARTICLE VIII - GOALS
- To preserve the Filipino nurses’ tradition of caring, compassion, and competence, and to promote the members’ appreciation and pride in these traditions.
- To act, provide and direct members to proper support systems where and when appropriate.
- To foster professional cooperation and the sharing of expertise among nurses in Québec, other provinces of Canada and other parts of the world.
- To promote a strong sense of professional accountability and social commitment.
- To promote the continuing professional and personal growth of the members.
- To support the members in their efforts to meet their civic and social responsibilities.
- To promote and expand the leadership skills and practices of members.
ARTICLE IX - OBJECTIVES
- To organize seminars and workshops which identify and appreciate the professional traits and characteristics of the nursing profession.
- To act as lobbying group and to represent where and when appropriate, the members in matters related to human rights, race relations, harassments and other related issues.
- To increase members’ participation in the activities of the 12 ORIIM, OIIQ, CNA, ICN.
- To organize / sponsor professional and educational fora with other Filipino Canadian Nurses organizations.
- To function as a clearing house for the information re: educational and professional conferences, and to send delegates to these.
- To conduct workshops to update members on health-related research and professional practices.
- To act as the liaison body with educational, civic, social and environmental groups in Québec, Canada, and other parts of the world.
- To share expertise in professional and educational events.
- To raise funds through membership dues, honoraria earned by members, grants and donations, to support such activities.

ARTICLE XI - THE EXECUTIVE BOARD (EB)
- The FNAQ EB shall consist of eleven (11) members. The offices they occupy shall be as follows:
- President
- Vice- President
- Recording Secretary
- Treasurer
- Auditor
- Director of Membership
- Director of Constitution & Bylaws (CBL), Ethics & Standards of Nursing Practice (ESNP)
- Director of Communications & PRO, Arts/Graphics/Logistics
- Director of Finance and Fund Raising
- Director of Continuing Education and Program
- Director of Continuing Education and Program
- Ex-Officio
- The members of the EB are the elected officers of FNAQ and shall serve for a 2 year term. The Ex- Officio shall be a member of the incumbent EB, but shall have no voting rights.
- The names of all members shall be written in full in all FNAQ formal documentations, e.g. letter head, stationary, membership application form, cards and lists. A name written in full shall include the following three (3) names: first, maiden (or, if single, mother’s family name), and last name.
